By downloading or using "Proverbia" ("App"), operated by Archa Labs Corp ("we," "us," or "our"), you agree to these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the App.

2. Service Description

The App provides a collection of phrases from famous individuals and national proverbs. Features include favoriting proverbs, learning more about the proverb and the author, saving images to your gallery, and sharing content via social media.

3. User Eligibility and Account Termination

Representation: By using the App, you represent that you meet any eligibility requirements to use the App.
Account Termination: You may terminate your use of the App at any time by deleting your account via the in-app deletion feature or by emailing us at admin@archalabs.com.

4. User Data and Privacy

Data Handling: Refer to our Privacy Policy for details on data collection and use.
Consent: By using the App, you consent to data practices outlined in the Privacy Policy.

5. Intellectual Property

Content Ownership: All content is owned by Archa Labs or licensed appropriately.
User License: You are granted a limited, non-transferable license for personal, non-commercial use.

6. User Conduct

Prohibited Actions: You agree not to:

  • Reverse engineer or decompile the App.
  • Use the App for unlawful activities.
  • Distribute or modify content without permission.
  • Engage in any activity that disrupts or interferes with the App's functionality or other users' experiences.

7. Disclaimer of Warranties

  • "As Is" Basis: The App is provided "as is" without warranties of any kind.
  • No Guarantees: We do not guarantee the accuracy or reliability of the App's content.

8. Limitation of Liability

  • No Liability: We are not liable for any damages arising from your use of the App.
  • Third-Party Content: We are not responsible for content on external platforms linked from the App.

9. Changes to Terms

  • Modifications: We may update these Terms at any time.
  • Notification: Changes will be effective upon posting within the App.
  • Continued Use: Using the App after changes signifies acceptance.

10. Governing Law

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles.

11. Indemnification

You agree to indemnify, defend, and hold harmless Archa Labs Corp, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use of the App, including any violation of these Terms.
  • Your content, any content you submit, post, or otherwise make available through the App.
  • Your conduct, any illegal or unauthorized use of the App.

12. Dispute Resolution

Informal Resolution: We encourage you to contact us directly at admin@archalabs.com with any questions or concerns regarding these Terms or the App. We are committed to resolving disputes informally and amicably.

Arbitration Agreement: Any disputes arising out of or related to these Terms or your use of the App shall be resolved through binding arbitration in accordance with the rules of the British Columbia Arbitration Association. The arbitration shall take place in Victoria, British Columbia, Canada, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.

Waiver of Class Actions: You agree that any arbitration under these Terms shall be conducted solely on an individual basis and not as a class action or other representative action. You expressly waive any right to participate in a class action or other representative proceeding.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such invalidity shall not render these Terms unenforceable or invalid as a whole. Such provisions shall be deleted without affecting the remaining provisions herein.

14. Entire Agreement

These Terms constitute the entire agreement between you and Archa Labs Corp regarding your use of the App and supersede any prior agreements between you and us regarding your use of the App.

15. No Transfer of Rights

You may not transfer, assign, or sublicense your rights under these Terms. Any attempt to transfer rights without our prior written consent will be null and void.
